Janice Moore is a member of Sonnenschein’s Energy and Corporate Practices. Her practice involves asset acquisitions and managing risks in capital and commodities markets, including physical and financial trading of all energy commodities in international and domestic markets. She offers a unique advantage to the firm’s clients based on her many years of experience as in-house counsel for companies who are major players in these markets. She has advised clients on all aspects of managing energy commodity and related risks, ranging from structured finance arrangements for project development using special purpose vehicles to credit risk and foreign exchange (FX) exposures to weather risks and commodity price hedges, and optimizing assets related to power, oil, natural gas and uranium.

In power, she has worked with traders and business development groups of power marketers and traditional utilities on all aspects of power purchase and sale transactions for traditional power generation, emissions trading, and various renewable energy technologies, including wind and landfill gas projects and renewable energy certificates and carbon offsets. These transactions involved special transactions to acquire additional assets or interests in large nuclear projects, such as the South Texas Project, as well as industry standard master agreements, highly structured power purchase agreements, spot and term transactions in all the North American power markets, wholesale contracts for standard offer service obligations, various load-following requirements contracts, offtake agreements, nuclear energy diversity swaps, capacity payments, call options, tolling arrangements, and wholesale and retail contracts with municipalities and aggregators.

In coal, crude oil, petroleum and petrochemical products, she has worked with traders and business developers of trading companies and fully integrated energy companies, as well as oil and gas producers, on all aspects of purchase and sale transactions throughout the world, including spot and structured term deals, all-requirements contracts, fuel management agreements for power plants, and financing transactions. She has negotiated contracts in the Philippines, Singapore, Guam, Korea, Japan, India, Vietnam, Brazil, and England. Prior to joining Sonnenschein, Ms. Moore was a Partner in the Washington, D.C. office of McGuireWoods LLP, where she focused on Capital Markets and Energy. She has also served as Assistant General Counsel for Enron North America Corporation from 1996-2001, where she advised traders and business development groups on all aspects of power purchase and sale transactions, including master agreements and structured transactions in most U.S. markets. Prior to her work with Enron, Ms. Moore held legal and management positions with Mobil Corporation from 1989 1996. She was also a full-time professor at University of Richmond Law School and an associate with Hunton & Williams’ Washington, D.C. and Richmond offices. Prior to her legal career, Ms. Moore served as a Credit Officer with Signet Bank in Richmond, Virginia and as a Mortgage Loan Officer with The Binghamton Savings Bank in Binghamton, New York.
